Terms and Conditions of Employment

Vudbhag Techno and Marketing Pvt. Ltd.(Hereinafter referred to as “the Company”)

These Terms and Conditions shall apply to all employees, staff, executives, trainees, consultants, and sales personnel employed by the Company, unless otherwise agreed in writing.


1. Minimum Business Requirement

The employee, particularly those in sales-related roles (including Sales Executives) agrees to achieve a minimum business/order value of ₹25,000 per month, or such other target as may be communicated by the Company from time to time.

Failure to meet the minimum business requirement may result in review of salary eligibility, incentives, continuation of employment, or reassignment, strictly in accordance with Company policy and applicable labor laws.


2. Purchase of DSE Kit

Where applicable, the employee shall purchase the DSE Kit from the Company at the prescribed cost.

The employee expressly agrees that the DSE Kit is non-returnable and non-refundable, and no claim for refund, adjustment, or reimbursement shall be entertained under any circumstances.


3. Return of Company Property

Upon resignation, termination, or cessation of employment for any reason, the employee shall immediately return all Company property, including but not limited to stock, marketing materials, documents, data, devices, ID cards, login credentials, and any other assets belonging to the Company.

Final settlement of salary and dues shall be subject to full and satisfactory return of all Company property.


4. Notice Period

The employee shall provide a minimum 15 (fifteen) days’ prior written notice of resignation.

In case the employee fails to serve the required notice period, the Company shall be entitled to recover or withhold salary, incentives, or other dues in lieu of the notice period, as permitted under applicable laws.

The Company reserves the right to waive or reduce the notice period at its sole discretion.


5. Targets, Salary, and Incentives

Salary, incentives, commissions, or performance-linked benefits are strictly subject to target achievement, performance evaluation, and Company policy.

Any incentive, including a 30% incentive, shall be purely performance-based, discretionary, and shall not constitute a guaranteed or vested right. The Company reserves the right to modify, suspend, or withdraw incentive schemes at any time, subject to applicable laws.


6. Misuse of Company Name, Brand, or Authority

Any unauthorized or improper use of the Company’s name, brand, ID card, documents, customer data, authority, or representation for personal, fraudulent, or unlawful purposes shall be treated as serious misconduct.

Such acts may result in disciplinary action, termination of employment, recovery of losses, and initiation of civil or criminal proceedings under applicable laws.


7. Training, Onboarding, and Development Charges

The Company may provide training, onboarding, or skill development programs as deemed necessary.

Where applicable, the Company reserves the right to recover training or onboarding costs, either partially or fully, if the employee leaves employment within a specified period, subject to mutual agreement and applicable laws.


8. Statutory Deductions and Compliance

All statutory deductions, including Provident Fund (PF), Employees’ State Insurance (ESI), Professional Tax, Tax Deducted at Source (TDS), and any other applicable deductions shall be made strictly in accordance with laws, rules, and regulations prescribed by the Government of India.


9. Confidentiality and Data Protection

The employee shall maintain strict confidentiality of all Company information, including business strategies, pricing, customer data, technical information, and internal documents, both during and after the term of employment.

Any breach of confidentiality shall invite disciplinary and legal action.


10. Amendment and Interpretation

The Company reserves the right to amend, modify, or update these Terms and Conditions at any time, with or without prior notice, subject to applicable laws.

The interpretation of these Terms and Conditions shall rest solely with the Company, and such interpretation shall be final and binding.


11. Jurisdiction and Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or in connection with employment shall be subject to the exclusive jurisdiction of the courts at Hisar, Haryana.


Employee Acknowledgement

By accepting employment with the Company, the employee acknowledges that they have read, understood, and agreed to abide by these Terms and Conditions.
